End User License Agreement

What a license lets you do with the software, what it does not include, and your rights to the games you build with it.

1. This Agreement

This End User License Agreement ("EULA") governs your use of the ED5 MMO Studio software — the engine, game server, game client, editor, Studio desktop application, Studio Web, plugin SDK, documentation, and any bundled starter content (together, the "Software"). It is an agreement between you (the "Licensee") and ED5 Global.

By installing, activating, accessing, or using the Software you accept this EULA. If you do not accept it, do not use the Software.

The Software is licensed, not sold. You acquire a license to use it under the terms below. You do not acquire ownership of it.

2. License Grant

Subject to your compliance with this EULA, your payment in full, and the limits of your plan tier, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable, worldwide license to:

  1. 1.Install and use the Software to design, develop, test, and build games.
  2. 2.Activate the Software on the number of devices permitted by your tier, for use by you or, for team tiers, by your authorized team members.
  3. 3.Distribute the runtime components of the Software — the compiled game client and game server as produced by the export and build tooling — as an integral part of a game you have created, and only in that form.
  4. 4.Use the bundled starter content within games you build with the Software, subject to section 6.

3. Plan Tiers

TierPermitted use
IndiePersonal projects and indie development. Not licensed for a commercial release that generates revenue.
StudioCommercial release. You keep 100% of your game's revenue; we take no royalty.
EnterpriseCommercial release at scale, plus the developer API, Creator MCP access, and the support entitlements of that tier.

If your project moves from personal to commercial, upgrade your tier before you release. Upgrades cost only the difference between tiers.

4. What This License Does Not Include

This license does not grant you the Software's source code. The Software is proprietary and is distributed to Licensees in compiled, executable form together with hosted services. No plan tier, at any price, includes delivery of, access to, or the right to obtain the engine, editor, server, or client source code.

Nothing in this license grants you:

  • Any right to the source code, build system, internal tooling, or private repositories of the Software.
  • Any ownership interest in the Software or its intellectual property.
  • Any right to relicense, open-source, publish, or otherwise make the Software available to the public.
  • Any patent, trademark, or branding license beyond the limited factual reference permitted in section 9.
  • Any right to services, features, or content not included in your tier.
Extensibility is provided through the documented plugin SDK, the editor's authoring tools, and configuration — not through source access. Anything you can build with those remains yours under section 7.

5. Restrictions

You may not, and may not permit anyone else to:

  1. 1.Reverse engineer, decompile, disassemble, deobfuscate, or otherwise attempt to derive the source code, algorithms, or internal structure of the Software, except to the strict extent that restriction is unenforceable under applicable law.
  2. 2.Redistribute the Software itself. You may ship a game built with it; you may not ship, sell, publish, host, or give away the engine, editor, server, client, or SDK as a standalone product, template, starter kit, framework, boilerplate, or service.
  3. 3.Resell or sublicense the Software, or use it to offer a game-engine or game-editor product or service to third parties.
  4. 4.Share or transfer license keys, activate beyond your permitted device or seat count, or use one license to serve multiple organizations.
  5. 5.Circumvent licensing, activation, metering, entitlement, or security controls, or use the Software with a key you did not lawfully acquire.
  6. 6.Remove or obscure copyright, trademark, license, or attribution notices in the Software.
  7. 7.Use the Software to build a competing game engine or editor.
  8. 8.Use the Software to create or distribute unlawful content, malware, or anything that infringes a third party's rights.

6. Bundled Starter Content

The Software ships with starter content — tiles, sprites, character generator parts, audio, shaders, sample worlds, and seed data — provided so the product is usable on day one.

  • You may use, modify, and ship bundled starter content inside games you build with the Software, including commercial games under a commercial tier.
  • You may not extract bundled content and redistribute it on its own, resell it as an asset pack, or include it in a product that is not a game built with the Software.
  • Some bundled content is licensed to us by third parties; where a component carries its own notice or license terms, those terms also apply and are supplied with it.
  • Content you import from other tools or marketplaces — including RPG Maker projects and third-party asset packs — remains governed by whatever license you obtained it under. Importing it into the Software does not change that license, and it is your responsibility to hold the rights to ship it.

7. Your Games and Your Content

You own the games you make. All original content you create — worlds, art, audio, writing, quest and item data, plugins, and game logic — is yours.

  • We take no royalty, revenue share, or ownership stake in your game, on any tier.
  • You may sell your game, monetize it, and keep 100% of the proceeds, subject to holding a commercial tier.
  • You are not required to credit us, though we appreciate it.
  • You are solely responsible for your game — its content, its ratings and classification, its player community, its data handling, and its compliance with the law and with any storefront's rules.

8. Plugins and Code You Write

Plugins and scripts you author against the documented plugin SDK are your content, and you may distribute them, including commercially. Distributing a plugin does not entitle its recipients to use the Software — every user still needs their own license.

The plugin SDK's interfaces, type definitions, and documentation remain ours. You may use them for their intended purpose of building plugins; you may not use them to reimplement or clone the Software.

9. Trademarks and Attribution

You may factually state that your game was built with ED5 MMO Studio. You may not use our names, logos, or branding as your own product branding, in a way that implies we endorse or are affiliated with your game, or in a manner likely to cause confusion.

Your game must be presented as your own product under your own branding. The Software's rebranding tools exist so that a shipped game is unmistakably yours.

10. Activation, Seats, and Verification

  • Licenses are activated per device and validated against our licensing service.
  • You may deactivate a device from your account dashboard to free a seat, for example when you replace hardware.
  • The Software may periodically verify your license and entitlement tier. Blocking that verification is a breach of section 5.
  • We may audit license usage where we reasonably suspect a breach, on reasonable notice.

11. Updates

Engine updates for the life of the product are included with every tier and delivered through the Studio updater. Updates are provided under this same EULA.

We are not obliged to maintain compatibility with older versions indefinitely, and an update may change or remove behavior. Test updates against your project before shipping. Managed servers roll to a current engine image automatically when idle.

12. Term and Termination

This EULA takes effect when you first use the Software and continues until terminated.

It terminates automatically and immediately if you breach section 5. We may also terminate it if you breach any other material term and do not cure the breach within 14 days of notice, or if your purchase is reversed by a chargeback.

On termination you must stop using the Software and remove all copies. Games you have already released stay released — we will not require you to withdraw a game that was lawfully built and shipped while your license was in good standing — but you lose the right to continue developing with, building from, or distributing new builds of the Software.

13. Ownership

The Software and all copies of it, and all intellectual property rights in it, are and remain the exclusive property of ED5 Global and its licensors. All rights not expressly granted in this EULA are reserved.

If you send us feedback, bug reports, or feature suggestions, we may use them without restriction or obligation to you. You are not required to send us feedback.

14. Disclaimer and Liability

The Software is provided "as is", without warranty of any kind. To the fullest extent permitted by law we disclaim all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

Our liability under this EULA is limited on the same terms set out in section 16 of the Terms of Service. You are responsible for backing up your projects.

15. Governing Law

This EULA is governed by the laws of the State of Delaware, United States, and the dispute provisions in the Terms of Service apply to it.
